Subscriptions

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring basis. Please review your subscription details carefully before subscribing.

Your Status

By placing an order through our site, you warrant that:

• You are legally capable of entering into binding contracts;
• You are at least 18 years old;
• You are a resident in one of the serviced countries; and
• You are accessing our site from that country.

How the Contract is Formed Between You and Us

After completing signup, you will receive an email from us via our payment gateway acknowledging that we have received your first payment. Please note that this acknowledgment does not constitute acceptance of your subscription. Your subscription is an offer to purchase products by subscribing to a Service. All orders are subject to acceptance by us, and we will confirm such acceptance to you by sending you an email (the “Welcome Email”). The contract between you and Vinglits will only be formed when we send you the Welcome Email.

The subscription plan for our Services consists of an initial charge followed by recurring period charges as agreed by you. By entering into this Agreement, you acknowledge that your subscription includes an initial payment feature, and you accept responsibility for all charges incurred prior to cancellation.

You can cancel your subscription at any time. No cancellation fee will be charged. While you may re-subscribe at any time after cancellation, we reserve the right not to permit re-subscription if we have previously elected to terminate a subscription with you.

Availability and Delivery

Your order will be fulfilled by the dispatch date set out in the Welcome Email, barring any exceptional circumstances. We will aim to notify you in reasonable time if there is a delay in dispatch. Delivery is usually between 7–10 working days after dispatch; however, Vinglits cannot accept responsibility for any delays in delivery that are beyond our control.

Deliveries will be made to the address provided during signup, unless you have notified us in writing of a different delivery address. We cannot be held responsible for deliveries that do not reach you due to an incorrect address.

Risk and Title

The products will be at your risk from the time of delivery. Ownership of the products will pass to you only when we receive full payment of all sums due in respect of the products, including any delivery charges.

Price and Payment

The price of the products and any applicable delivery charges will be as quoted on our site from time to time, except in cases of obvious error. Product prices include all applicable taxes. Prices and delivery charges are subject to change at any time; however, such changes will not affect orders for which a Welcome Email has already been sent.

All payments for Services are processed via our payment gateway. We also accept major debit and credit cards through our payment gateway.

Warranty

Vinglits warrants that any product purchased through our site will, upon delivery, conform to its description, be of satisfactory quality, and be reasonably fit for all the purposes for which products of that kind are commonly supplied.

Our Liability

Subject to the limitations specified in these Terms, if we fail to comply with these Terms and Conditions, our liability to you shall be limited to the purchase price of the products. Our total monetary liability will not exceed the price of the subscription plan you purchased.

Nothing in this agreement excludes or limits our liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any breach of the obligations implied by applicable consumer protection laws;
• Defective products; or
• Any other matter for which it would be illegal for us to exclude or limit our liability.

Notices

All notices given by you to Vinglits must be addressed to Vinglits at [email protected]. We may also contact you via the email or postal address you provide when signing up for a subscription, or by any other means as specified herein. Notice will be deemed received and properly served immediately when posted on our website, 96 hours after an email is sent, or seven days after a letter is posted.

Transfer of Rights and Obligations

The contract between you and Vinglits is binding on both parties and their respective successors and assigns. You may not transfer, assign, charge, or otherwise dispose of any rights or obligations arising under these Terms without our prior written consent. Similarly, we may not transfer, assign, charge, subcontract, or otherwise dispose of any rights or obligations during the term of the contract.

Intellectual Property Rights

Vinglits is the owner (or the licensee) of all intellectual property rights in our site, whether registered or unregistered, and in all material published on it. These works are protected by copyright laws, and all rights are reserved. You may print off one copy and download extracts of any pages from our site for your personal, non-commercial use only. No part of our copyrighted material may be used for commercial purposes without obtaining proper authorization.

Events Outside Our Control

Vinglits will not be liable for any failure to perform or any delay in performance of our obligations under these Terms if such failure or delay is due to events beyond our reasonable control (a “Force Majeure Event”). This includes, without limitation, events such as strikes, civil disturbances, acts of terrorism, natural disasters, or any other events beyond our control. In such cases, your remedies shall be limited to those available under applicable law.

Waiver

Severability

Amendments

Vinglits reserves the right to revise and amend these Terms and Conditions at any time. Any changes will be posted on this page, and your continued use of our site after such changes are posted constitutes your acceptance of the revised Terms.

Law and Jurisdiction

Any disputes arising out of or in connection with these Terms or their subject matter shall be governed by the laws applicable to Vinglits. The courts shall have non-exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms.
